“Company” means Ascent Fire Ltd, Company Registration Number 17166119, whose registered office is 2 Deepfields Drive, Heanor, Derby, DE75 7RE.
“Customer” means the individual, company, partnership, organisation or other entity purchasing goods or services from the Company.
“Equipment” means any fire alarm systems, emergency lighting systems, extinguishers, fire safety equipment, monitoring devices, software, hardware, cabling, components and associated materials supplied by the Company.
“Installation Works” means the design, supply, installation, commissioning, testing and certification of Equipment.
“Maintenance Services” means routine inspection, testing, servicing, maintenance and repair services provided by the Company.
“Monitoring Services” means any remote monitoring, alarm receiving, signalling or related services provided directly or through approved third-party monitoring providers.
“Site” means the premises where the Equipment is installed or where Services are provided.
“Contract” means the quotation, proposal, order acceptance, these Terms and Conditions and any documents expressly incorporated into them.
2.1 All quotations are valid for 30 days unless otherwise stated.
2.2 A Contract shall arise when:
2.3 These Terms and Conditions shall apply to the exclusion of all other terms unless otherwise agreed in writing.
The Customer shall:
3.1 Provide safe and unrestricted access to the Site.
3.2 Obtain all permissions, consents and approvals required for the works.
3.3 Provide suitable electrical supplies, communications infrastructure and access equipment where required.
3.4 Maintain the Site in a safe condition and comply with all applicable health and safety requirements.
3.5 Promptly notify the Company of faults, modifications, building alterations or changes affecting the Equipment.
3.6 Not permit any third party to modify, interfere with or reconfigure Equipment maintained by the Company without prior written approval.
3.7 Maintain an up-to-date Fire Risk Assessment where legally required.
4.1 Installation Works shall be undertaken in accordance with the accepted quotation.
4.2 The Company reserves the right to substitute equivalent products where necessary due to supply chain issues, obsolescence or manufacturer changes.
4.3 Installation dates are estimates only and are subject to labour availability, site readiness and material supply.
4.4 Any variations requested by the Customer shall be subject to additional charges.
4.5 Unless specifically included, quotations exclude:
5.1 Upon completion, the Company shall commission the system in accordance with applicable British Standards.
5.2 Relevant certification shall be issued where applicable.
5.3 The Customer shall provide a representative to attend final testing and handover.
5.4 The system shall be deemed accepted upon commissioning and handover unless defects are notified in writing within 14 days.
6.1 Maintenance Services shall be carried out in accordance with the agreed service level.
6.2 Preventative maintenance visits shall be undertaken at intervals determined by relevant standards and the agreed maintenance package.
6.3 Corrective maintenance and repairs may be chargeable unless expressly included within the maintenance agreement.
6.4 Consumable items including batteries, detector heads, lamps, fuses and similar items are excluded unless specifically stated otherwise.
6.5 The Company shall provide access to technical support during normal business hours and emergency support where included within the maintenance agreement.
7.1 Monitoring Services may be provided through approved third-party monitoring centres.
7.2 The Company shall not be liable for interruptions caused by telecommunications providers, internet service providers, mobile networks or utility failures.
7.3 The Customer shall maintain accurate keyholder and contact details at all times.
7.4 Excessive false alarms may result in additional charges or suspension of monitoring services.
8.1 New Equipment supplied and installed by the Company shall be warranted for 12 months from commissioning.
8.2 The warranty covers defects in materials and workmanship only.
8.3 The warranty excludes:
8.4 Manufacturer warranties shall apply where longer warranty periods are offered.
9.1 Installation invoices shall be payable in accordance with the quotation.
9.2 Unless otherwise agreed, invoices are payable within 30 days of issue.
9.3 The Company reserves the right to request deposits and stage payments.
9.4 Overdue invoices may attract interest under the Late Payment of Commercial Debts (Interest) Act 1998.
9.5 The Customer shall reimburse reasonable debt recovery costs incurred by the Company.
10.1 Annual maintenance and monitoring charges may be increased upon renewal.
10.2 Charges may also be adjusted to reflect increases in labour, fuel, insurance, material or regulatory compliance costs every April 1st
10.3 Where possible, the Company shall provide reasonable notice of any price adjustment.
11.1 The Company’s total liability arising from any claim relating to the Contract shall not exceed the total amount paid by the Customer under the relevant Contract during the preceding 12 months.
11.2 The Company shall not be liable for:

11.4 Fire and security systems reduce risk but cannot guarantee prevention of fire, theft, damage or injury.
12.1 Maintenance and monitoring agreements shall commence on the agreed start date.
12.2 Unless otherwise agreed, maintenance agreements shall have an initial term of three years.
12.3 Thereafter the agreement shall automatically renew for successive 12-month periods unless terminated by either party giving not less than 90 days’ written notice.
12.4 Early termination (greater than 90 days from contract expiry date) will require the full year sum to be paid
12.5 The Company may suspend services where invoices remain unpaid.
12.6 Either party may terminate immediately in the event of a mutually agreed material breach.
13.1 Both parties shall comply with applicable UK data protection legislation.
13.2 Personal information shall only be processed for legitimate business purposes connected with the Contract.
The Company shall not be liable for delays or failures caused by events beyond its reasonable control, including acts of God, severe weather, industrial action, pandemics, utility failures, supply chain disruptions or government restrictions.
15.1 The Customer shall provide a safe working environment.
15.2 The Company reserves the right to suspend works where unsafe conditions exist.
15.3 Any resulting delays or additional visits may be chargeable.
16.1 No variation to these Terms shall be effective unless agreed in writing.
16.2 If any provision is found invalid, the remaining provisions shall remain in force.
16.3 The Contract shall be governed by the laws of England and Wales.
16.4 The courts of England and Wales shall have exclusive jurisdiction over any dispute arising under the Contract.
